01

Co-Production Model & Participation

What is an institutional cinema co-producer in the HNS Media syndicate?

An institutional co-producer is an accredited individual, family office, or corporate partner who participates directly in the financing and revenue participation of a verified motion picture slate. Rather than simply lending capital, co-producers acquire direct fractional equity inside a project-specific Special Purpose Vehicle (SPV), securing both first-lien waterfall priority and formal silver-screen title credits.

Who is eligible to participate as an accredited co-producer?

Participation is open to verified High-Net-Worth Individuals (HNIs), Ultra-HNIs, family investment trusts, corporate balance sheets, and accredited international entertainment funds that satisfy Indian KYC and AML verification protocols. Each participant receives dedicated onboarding and private liaison access with our Studio Legal Desk.

How are films, series, and events greenlit by HNS Media?

Every prospective production must pass our rigorous 4-Pillar Greenlight Protocol: (1) Script Doctoring & Global Franchise Viability, (2) Bankable Cast Packaging & Director Attachments, (3) Completion Bond Underwriting & Escrow Ring-Fencing, and (4) Pre-Sales De-Risking through pre-locked OTT streaming advances and distributor minimum guarantees.

Can I choose which specific film or web series my capital supports?

Yes. Co-producers have granular discretion to review active project decks, cast attachments, genre metrics, and target release windows. You choose the specific theatrical feature, multi-lingual series, or live arena tour SPV you wish to co-produce.

02

Revenue Waterfall, Escrow & Settlements

How does the cinema revenue waterfall guarantee first-lien capital recovery?

Under our binding SPV syndicate agreements, 100% of co-producer committed principal capital must be fully recouped from theatrical gross collections, digital streaming buyouts, and satellite licenses before any studio bonuses, back-end profit splits, or executive distributions can legally be disbursed. Co-producer capital holds paramount senior priority.

How are project funds protected through scheduled bank escrow accounts?

All production capital and revenue inflows are deposited into dedicated project escrow accounts held at tier-1 scheduled commercial banks (e.g. HDFC Bank, ICICI Bank). Capital can only be released upon certified production milestones verified by independent completion monitors and chartered engineers.

What are Pre-Sales advances and Minimum Guarantees (MG)?

Prior to theatrical release, HNS Media pre-licenses key exploitation rights including digital OTT streaming windows, linear television satellite rights, music publishing, and overseas territorial theatrical distribution. These contractual advances routinely de-risk up to 70% of production budgets before opening weekend.

How and when are waterfall revenues disbursed to co-producers?

Waterfall disbursements occur quarterly directly via automated RTGS/NEFT from the bank escrow account. Every disbursement is accompanied by an audited CA settlement statement, digital Form 16A TDS certificate, and multiplex Daily Collection Report reconciliation.

03

Legal Architecture, SPVs & Compliance

What is a Special Purpose Vehicle (SPV) and why is it used?

An SPV is an independent private limited corporation incorporated under the Indian Companies Act, 2013, created exclusively to own the copyright, distributor contracts, and revenue rights of a single film. This legal isolation protects co-producers from any claims, tax liabilities, or risks associated with other studio projects.

Is syndicate co-production compliant with SEBI and MCA statutory regulations?

Yes. HNS Media operates strictly under bilateral co-production joint venture frameworks and MCA-governed SPV equity partnerships. We do not operate collective investment schemes or unregulated retail deposit pools. Every agreement is individually negotiated and registered under Indian corporate law.

How does HNS Media protect against shoot delays or budget overruns?

All major motion pictures in our slate carry institutional Completion Bond Guarantees issued by recognized international completion bond guarantors. The guarantor legally undertakes that the film will be completed and delivered within the approved script specifications, or reimburses production costs in the event of abandonment.

04

On-Screen Crediting & VIP Studio Access

How are co-producer on-screen titles credited in cinema theaters?

Qualifying co-producers receive official credits ("Co-Producer", "Associate Producer", or "Executive Producer" based on slate tier) rendered across 3,800+ domestic multiplex screens, international theatrical release DCPs, OTT streaming titles, and verified IMDb filmography listings.

What red-carpet festival and premiere privileges do co-producers receive?

Co-producers receive VIP access to world premiere galas, press conferences, and invitations to international film festival delegations (such as Cannes, Venice, and IFFI Goa). For live arena productions, co-producers enjoy private stadium skybox hospitality and artist greenroom meet-and-greets.

How do I begin the accreditation process to review active opportunities?

Simply register through our Investor Registration Portal. Our institutional investor relations team will contact you within 24 hours to execute a bilateral Non-Disclosure Agreement (NDA) and unlock our encrypted slate data rooms.
